BYLAWS

ARTICLE I
Name
Section 1
The name of the organization
shall be White Wolf Snowmobile Club, Inc.
ARTICLE II
Purpose
Section 1
The purpose of this organization is to promote and foster snowmobiling as a sport and recreation for its members: to educate and exchange information pertinent to snowmobiling; to create, maintain, mark and map a system of trails, public and private, for the use of snowmobilers; to promote good conduct, sportsmanship, safety, and conservation practices; and to assist in rescue work.
ARTICLE III
Membership
Section 1
Membership is based on the registration of a insured snowmobile and its operator, who is (13) years of age or older, and has an interest in snowmobiling. Persons under the age of sixteen (16) must complete a Club sponsored snowmobile operator safety orientation. Each snowmobile registered wit the Club is entitled to one (1) voting right. Membership application shall specify with whom the voting right shall reside. No one (1) person shall have more than one (1) vote. A person so elected shall be declared a member of the Club upon certification of the Executive Council.
Section 2
Membership may be revoked for due cause by a majority vote of the members at a General Membership Meeting.
Section 3
Snowmobile registration fees will be set at the Annual General Membership Meeting by the majority of those present. These registration fees shall be payable on or before November 30 of each year. The Treasurer shall notify members should snowmobile registration be in arrears, and those whose which are not paid within 30 days shall automatically be dropped from the registration list until arrears are paid.
Section 4
Members of sixty (60) years of age are entitled to a reduced membership rate after one year of membership.
ARTICLE IV
Government Officers:
Duties of
Section 1
The members of this organization are the governing body: Elected officers shall direct the organization. Elected officers who constitute the Executive Council are the President, Vice-President, Secretary, Treasurer, and three (3) Directors, who shall be elected by ballot at an Annual General Membership Meeting, and shall hold office for a term of two (2) years, or until their successors are chosen.
Section 2
The official term of the officers shall begin on the day of their election and shall continue until their successors are duly elected. In the case of death, resignation or disability or an officer, it shall be the duty of the membership to fill such vacancy for the remainder of the official term. All elected officials shall be members in good standing.
Section 3
The President, or in his/her absence, the Vice-President, shall preside at all meetings of the Club. The President shall be the recognized head of the Club, and shall appoint all the necessary committees, committee chairpersons, and serve as ex-officio member thereof.
Section 4
The Secretary maintains accurate written records of all meetings of the organization: is responsible for correspondence and notifying the membership of meetings of the organization.
Section 5
The Treasurer shall keep records of all monies received by the organization and shall pay all financial obligations incurred by the organization. The Treasurer shall promptly deposit all monies received and shall report in detail monthly and annually as required by the Board of Directors, monies collected, expended or invested. The Treasurer shall be bonded.
Section 6
The Directors shall advise the President and oversee the payment of all debts incurred by the organization. They shall also hire an auditor, before the annual meeting, to audit the books for a yearly financial report and have it ready for the Annual General Membership Meeting.
Section 7
The Executive Council shall appoint a Head Trail Master who shall coordinate the trail system. The Head Trail Master shall seek assistance from members for trail maintenance, mapping and marking, and for the maintenance of equipment.
Section 8
The Executive Council, acting in good faith, shall be indemnified by the Club for any and all claims advanced against them in connection with actions taken on behalf of the Club by the Executive Council. Such indemnity shall extend to the heirs, executors or estate of a person so indemnified.
ARTICLE V
Meetings
Section 1
The Annual General Membership Meeting will be held in March.
Section 2
Meetings of the Executive Council will be held at least once every two (2) months. General Membership Meetings may be called by the Executive Council of President as required, but must occur at least once annually.
Section 3
General Membership Meetings and /or meetings of the Executive Council may be called by the President. Notice of such meetings must be given at least one (1) week in advance. It is the responsibility of the Secretary to provide such notification either by telephone and/or local community channel or newspaper.
Section 4
A quorum of ten (10) club members and the majority of the Executive Council shall be present in order to hold a meeting of the membership.
Section 5
A quorum of the Executive Council shall be a simple majority.
Section 6
There shall be no alcoholic beverages consumed during the meeting.
ARTICLE VI
Elections
Section 1
Election of officers shall be at an Annual General Membership Meeting.
Section 2
All officers shall serve for a term of two (2) years.
Section 3
The President shall appoint a three (3) member nominating committee thirty (30) days prior to the annual meeting, to bring a minimum of one (1) name for each elective office.
ARTICLE VII
Monies
Section 1
All requests for monies for donations outside the organization, have to be presented in writing and itemized before presentation on the agenda at a regular scheduled meeting. The Executive Council will review and present their recommendations to the membership at the meeting.
Section 2
The Executive Council has the authority to disperse fund under one thousand (1000) dollars without consulting with the Board of Directors or its membership.
Section 3
All monies to be dispensed for trail work or any other Club function, or expense totalling more than one thousand (1000) dollars, have to be presented and voted on by the Executive Council.
Section 4
Expenses for Club business by members totalling less than two thousand (2000) dollars must be approved by the Executive Council. Expenses totalling over two thousand (2000) dollars must be approved by the Executive Council and membership. Expense advances up to five hundred (500) may be approved by the Treasurer. Expenses so incurred must be properly accounted for with receipts within two (2) weeks of occurrence.
Section 5
All monies exceeding one thousand (1000) dollars required and expended for repairs to the Groomer(s) must be voted on and approved by the Executive Council.
ARTICLE VIII
Amendments
Section 1
These Bylaws may be amended by a majority vote at the Annual General Membership Meeting, provided notice of this proposal has been given to all members by the Secretary fifteen (15) days prior to such a meeting. Notification of such a meeting must appear on the local community channel and the local newspaper.
ARTICLE IX
Parliamentary Authority
Section 1
The rules contained in Robert’s Rules of Order Newly Revised shall govern the proceedings of the organization except in such cases as are governed by the Bylaws.
a. Every meeting should have a clear agenda.
b. A meeting should start promptly and be adjourned as soon as the group finishes it business.
c. Only one topic at a time should be discussed, and each should be finished before discussion of the next topic begins.
d. Discussions should focus on issues that are of concern to the group as a whole, not on personalities or subjects unrelated to business.
e.
Participants should speak one at a time, and only when the Chairperson of the
meeting has called on them. The statements they make should be brief and
to the point.
